The terms of using ModuleMinder.

The agreement between you and us when you use ModuleMinder: plainly written, and matched to how the product actually works.

Draft for legal review. This document describes how ModuleMinder works today, but it has not yet been reviewed by a lawyer and is not yet in force.

1. About these terms

These terms are an agreement between you and [Legal entity name], a company registered in England and Wales under number [Company number], whose registered office is at [Registered office address] (“ModuleMinder”, “we”, “us”). They apply when you create an account or use the ModuleMinder app, licence server or snippet (the “Service”).

ModuleMinder is for businesses and professionals. By accepting these terms you confirm you are at least 18 and are using the Service for your trade, business or profession. If you accept for an organisation, you confirm you can bind it, and “you” means that organisation.

Our Privacy Policy explains how we handle personal data and forms part of these terms.

2. Your account

  • Give us accurate details and keep them up to date.
  • Keep your password secret. You are responsible for what happens under your account, and should tell us straight away at support@moduleminder.com if you think someone else has used it.
  • You must verify your email address before some features become available.

3. The service

ModuleMinder lets you register eLearning modules, issue licences to your clients, and deliver each module with a snippet or as a licensed package built from a zip you upload. When the module runs, it reports to our licence server, which counts launches, applies the licence terms you set, and alerts you.

  • Counts are approximate by design. A launch is a fresh start of the course as reported by the LMS; resumes are not counted. Because we never identify learners, we cannot say how many different people a count represents.
  • Content plays if we can’t be reached. By default, if a course cannot contact our server, it keeps playing. During that time launches may not be counted.
  • We keep improving ModuleMinder and may change or remove features. If a change significantly reduces what a paid plan gives you, we will tell you in advance.

4. Plans and payment

  • Free includes 1 active module, with licence management and usage alerts, at no charge, for as long as we offer it.
  • Pay per module costs £10 a month or £100 a year for each active module, billed in advance through Stripe, and includes reporting. When you activate a module beyond the ones you already pay for, we show you the charge and take it only once you confirm.
  • The Studio, Agency, Enterprise and Unlimited plans and the reporting add-on are coming soon. They are not on sale yet, and will have their own terms when they are.

Prices are in pounds sterling. Any VAT or other tax due is added where applicable. Subscriptions renew automatically at the end of each month or year until you cancel. You can cancel at any time in Settings → Plan, and cancellation takes effect at the end of the period you have paid for. Except where the law requires, we do not refund part periods.

If a payment fails or a plan ends

If a payment fails, you will not be able to activate more modules until it is fixed. If your paid plan ends, your account returns to the Free plan. If you have more active modules than Free allows, the extra modules are disabled, and a disabled module stops playing on your clients’ LMSs until you reactivate it. We tell you when this happens.

We may change our prices. We will give you at least 30 days’ notice, and new prices apply from your next renewal.

5. Licences and your clients

Your licence agreements are between you and your clients. ModuleMinder is a tool that helps you monitor and enforce them; we are not a party to them.

  • You choose how each licence is enforced. Under soft enforcement (the default) learners are never stopped and you are alerted instead. Under a hard block, learners are stopped once a limit is reached.
  • Disabling or deleting a module, or deleting a licence, stops that content playing on your client’s LMS. Make those decisions with care, and tell your client first.
  • Tell your clients that your content contacts ModuleMinder when it runs, and what it records, so they are not surprised. Some networks need our server’s address allowed before the snippet can report.
  • You are responsible for decisions you make based on ModuleMinder’s counts and alerts, including any charges you raise with your clients.

6. Your content

Your modules, packages and data remain yours. You give us permission to store, process and modify the packages you upload only to provide the Service, for example to add the snippet to a licensed copy for a client. That permission ends when you delete the package.

You confirm you have the rights to everything you upload or deploy with ModuleMinder, and that it does not contain malware or anything unlawful.

7. Acceptable use

You must not:

  • use the Service for anything unlawful, or to infringe anyone’s rights;
  • use ModuleMinder to collect personal data about learners, for example by designing course questions to capture their identity;
  • get around plan limits, share accounts to avoid paying, or interfere with the licence server or other customers’ data;
  • probe, overload or attack the Service, or reverse engineer it except as the law allows;
  • resell the Service without our written agreement.

8. Data protection

For your account details we are the controller, as described in the Privacy Policy. For information you add about your clients and alert recipients, and for usage data collected from your courses, we process it on your behalf as your processor. You are responsible for having a lawful basis to give it to us. Our data processing agreement is available on request and forms part of these terms when you ask for it.

9. Availability

We work hard to keep ModuleMinder available, but we cannot promise it will be uninterrupted or error-free. We may need to carry out maintenance, and we will try to do so at quiet times. Because content plays by default when our server cannot be reached, an outage should not stop your learners.

10. Suspension and closing your account

  • You can stop using ModuleMinder at any time. To close your account, cancel any paid plan and email support@moduleminder.com. Export your data first from Settings → Data & privacy.
  • We may suspend or close your account if you seriously or repeatedly break these terms, do not pay, or if the law requires it. Where we reasonably can, we will warn you first and give you a chance to put things right.
  • Deleted modules, licences and clients are kept for 30 days and can be restored in that time. After that they, and their usage data, are permanently deleted.
  • When your account closes, your modules stop reporting and any licences you enforce stop being enforced.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.

Subject to that:

  • we are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss;
  • we are not liable for decisions you make based on counts, alerts or reports, or for the effect on your clients of how you choose to enforce, disable or delete licences and modules;
  • our total liability in any 12 months is limited to the greater of the fees you paid us in the 12 months before the claim arose and £100.

12. Changes to these terms

We may update these terms. If a change is significant, we will email you at least 30 days before it takes effect. If you do not agree, you can close your account before then. Continuing to use ModuleMinder after that means you accept the new terms.

13. General

  • These terms, with the Privacy Policy and any data processing agreement, are the whole agreement between us about the Service.
  • If any part is found unenforceable, the rest still applies. If we do not enforce a right straight away, we can still enforce it later.
  • You may not transfer this agreement without our consent. We may transfer it to a company that takes over ModuleMinder, and will tell you if we do.
  • No one else has rights under these terms.
  • These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
